1. Professional Disclaimer

NK Consulting provides strategic advice and coordination. We are NOT and do NOT replace:

A law firm or licensed attorneys.
An accounting firm or certified public accountants.
A bank, a financial intermediary (EMI), or an investment advisor (MiFID II).

Our role is that of orchestrators: we design the strategy (Masterplan) and coordinate external licensed specialists for technical execution.

2. Limitation of Liability

Our advice constitutes a strategic opinion. The final decision to implement a structure and its tax and legal consequences remain your sole responsibility.

NK Consulting's liability for any damages arising from the consultancy is contractually limited to 100% of the amount paid for the specific service that caused the damage. Indirect, consequential, or loss of profit damages are excluded.

3. Disclaimer on Tax and Legal Advice

No Guarantee on Tax Outcomes: We cannot guarantee that a structure will not be challenged by tax authorities or that laws will not change. All advice must be verified by your trusted accountant or lawyer.

4. Disclaimer on Bank Introduction

We facilitate the preparation of KYC/AML documentation and introduce you to banking partners. However, we do not guarantee approval or account opening. The final decision rests solely with the bank, and the contractual relationship will be exclusively between you and the banking institution.

5. Compliance and Anti-Money Laundering (AML/KYC)

We apply strict KYC and AML procedures. We reserve the right to refuse clients if "red flags" emerge (e.g., non-documentable source of wealth). We only promote strategies compliant with anti-abuse regulations (e.g., Italian D.Lgs 139/2024, EU ATAD) that have economic substance and valid non-tax reasons.

6. Dispute Resolution

Any dispute shall be exclusively resolved through arbitration administered by the Milan Chamber of Arbitration (CAM), according to its rules. The jurisdiction of ordinary courts is excluded.
